This Broker Partner Agreement ("Agreement") is a binding B2B contract between Motorsync Ltd ("Motorsync") and your credit broking or lending business ("Broker Partner").
- SaaS & API Licence: Non-exclusive subscription licence to access MIRA Business broker integration tools, finance lead routing, and proposal management features.
- FCA Compliance Warranty: Broker Partner warrants that it holds and maintains valid FCA Consumer Credit Broking permissions and complies with FCA Consumer Duty rules.
- Data Protection Safeguards: Independent Data Controller status under UK GDPR for applicant credit records transferred through MIRA platform channels.
By creating a MIRA Business broker partner account or executing an integration order form, your authorised corporate representative agrees to these terms.
1. Definitions & Interpretation
| MIRA Business | The web-based SaaS dealership and broker management portal provided by Motorsync Ltd for managing inventory, leads, E-Garage records, customer messaging, and finance proposals. |
| Broker Partner | The FCA-authorised credit broker or lending partner entity entering into this commercial agreement to receive finance proposals and display credit rates on MIRA. |
| Finance Lead Data | Applicant contact details, vehicle preferences, credit deposit inputs, and employment metadata generated by consumers requesting vehicle finance. |
| Credit Proposal | Digital credit quote or application decision routed through MIRA integration channels. |
2. Broker Representation & FCA Authorisation
Broker Partner warrants and represents that it:
- Holds and maintains active authorisation from the Financial Conduct Authority (FCA) with appropriate Credit Broking and Credit Reference permissions.
- Complies with all applicable FCA Handbook requirements, including Consumer Credit Sourcebook (CONC), Principles for Businesses (PRIN), and FCA Consumer Duty standards.
- Shall immediately notify Motorsync Ltd if its FCA authorisation status is varied, suspended, restricted, or revoked.
3. Finance Lead Data & UK GDPR Compliance
Data Controller Status: Motorsync Ltd and Broker Partner act as independent Data Controllers under UK GDPR for credit applicant records. Broker Partner must process applicant data solely for legitimate credit decisioning and maintain strict physical, administrative, and technical safeguards.
4. Integration & API Uptime Standards
Motorsync grants Broker Partner access to MIRA integration channels subject to:
- API Security: Secure HTTPS transport, API token authentication, and strict payload encryption for applicant metadata.
- Rate Lookup Response: Real-time automated rate quote return SLAs to ensure seamless customer experience.
- Maintenance Windows: Planned maintenance scheduling with advance technical notification.
5. Subscription Fees & Commercial Terms
Access to MIRA Business broker tools is subject to platform software licensing and API integration fees as set out in your commercial order form. Fees are billed in advance on monthly or annual billing terms and are non-refundable except during statutory cooling-off periods.
6. Consumer Duty & Rate Transparency
Broker Partner warrants that all Representative APR rates, credit terms, soft-search notices, and pre-contract disclosures transmitted to MIRA are transparent, non-misleading, and compliant with FCA Consumer Duty obligations.
7. Confidentiality Obligations
Both parties agree to protect non-public commercial terms, API integration specifications, and applicant financial records as strictly confidential for a period of 3 years following termination.
8. Limitation of Liability & Indemnity
Motorsync Ltd total aggregate liability under this Agreement is capped at subscription fees paid by Broker Partner in the prior 12 months. Broker Partner agrees to indemnify Motorsync Ltd against third-party claims or FCA regulatory sanctions arising from broker mis-selling, inaccurate rate disclosures, or regulatory non-compliance.
9. Agreement Term & Termination
Either party may terminate this Agreement with 30 days written notice. Immediate termination applies upon FCA permission revocation, material contract breach, or insolvency.
10. Governing Law & Jurisdiction
This Agreement is governed exclusively by the laws of England & Wales under the exclusive jurisdiction of the English courts.
