These Terms of Service ("Terms") constitute a legally binding agreement between you and Motorsync Ltd ("we", "us", or "MIRA"), a private limited company registered in England & Wales (Company No. 12700123).

1. Platform & Service Scope

MIRA provides digital showroom experiences, vehicle search, automated enquiry handling, showroom check-in, and dealership workflow tools. Please note:

• MIRA acts exclusively as a software marketplace and communication platform.
• Vehicle sales contracts are formed directly between the buyer and the selling dealership.
• Automated search assistance, valuation estimates, and plate scanning features are convenience tools; users should verify critical information independently before completing purchases.

2. User Eligibility

To register or access MIRA services, you represent and warrant that you:

• Are at least 18 years of age.
• Possess legal capacity to enter into binding legal agreements under UK law.
• Are accessing services from within the United Kingdom or authorised territories.
• Have not previously been suspended or barred from the platform.

3. Account Security & Registration

Account holders are responsible for maintaining credential security:

• You must provide accurate, current, and complete registration information.
• You are solely responsible for all activities occurring under your authenticated credentials.
• Promptly notify us at security@motorsync.co.uk upon suspecting unauthorised account access.

4. Vehicle Inventory & Data Accuracy

Vehicle stock data, prices, specifications, and availability displayed on MIRA are updated directly by participating dealerships or aggregated from public listings:

• We do not guarantee stock availability or price accuracy on third-party dealer websites.
• Vehicle images displayed are for illustrative purposes and may vary slightly from exact physical vehicles.
• Final vehicle specifications, history checks, and pricing must be verified directly with the selling dealer.

5. Financial Services Disclaimer

All vehicle financing enquiries initiated through MIRA are referred directly to FCA-authorised financial partners and registered credit brokers selected on the finance application screen or the chosen dealership's regulated credit broker. 6. Notifications & Communications

By creating an account, you consent to receive essential service messages (enquiry updates, security alerts). Marketing alerts can be toggled off at any time in user profile settings.

7. Intellectual Property Rights

All software code, brand trademarks, logos, visual UI assets, database architecture, and proprietary algorithms are owned exclusively by Motorsync Ltd or its licensors and protected by UK and international IP laws. All third-party trademarks, manufacturer logos, and dealership brand assets displayed on MIRA platforms remain the property of their respective owners.

8. Vehicle Data Aggregation

MIRA collects and indexes publicly advertised vehicle metadata to provide consumer search tools. Dealers wishing to update listing information, claim profile badges, or request indexing adjustments may contact info@motorsync.co.uk. Requests are handled within 14 business days.

9. Limitation of Liability

To the maximum extent permitted under UK law:

• Motorsync Ltd total aggregate liability for claims relating to the platform shall not exceed £100 or subscription fees paid in the prior 12 months.
• We shall not be liable for indirect, consequential, or special damages, lost business profits, or third-party dealer breaches.
• Nothing in these Terms excludes liability for death, personal injury caused by gross negligence, fraud, or statutory consumer rights under the Consumer Rights Act 2015.

10. Indemnification Obligations

You agree to defend, indemnify, and hold harmless Motorsync Ltd and its officers, directors, and employees from any third-party claims or damages resulting from your violation of these Terms or misuse of the platform.

11. Account Suspension & Termination

We reserve the right to suspend or terminate accounts immediately without prior notice in cases of fraudulent activity, breach of acceptable use guidelines, or system security threats.

12. Governing Law & Jurisdiction

These Terms are governed exclusively by the laws of England & Wales. Legal proceedings shall be brought before the exclusive jurisdiction of the courts of England & Wales.

13. Terms Modifications

We reserve the right to modify these Terms. Continued use of MIRA following notification of updated terms constitutes acceptance.
